Terms of Service

1. Acceptance of Terms

By accessing or using MemVault ("the Service", "we", "us", "our"), you confirm that you are at least 13 years of age, that you have read and understood these Terms of Service ("Terms"), and that you agree to be bound by them. If you do not agree, you must not use the Service.

We reserve the right to update these Terms at any time. We will indicate the revision date at the top of this page. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.

2. Eligibility and Age Requirement

You must be at least 13 years old to use MemVault. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly permit children under 13 to create accounts or submit content. If we discover that a user is under 13, we will terminate their account and delete their data immediately.

3. Description of Service

MemVault is a meme-sharing platform that allows users to browse, upvote, save, comment on, and submit image and video content. The Service is provided free of charge and is intended for personal, non-commercial use. We reserve the right to modify, suspend, or discontinue the Service at any time without notice or liability.

4. User Accounts

You may create an account to access additional features. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account, whether or not authorised by you
• Providing accurate, current, and complete information at registration
• Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or permanently terminate accounts that violate these Terms, at our sole discretion, without prior notice and without liability to you.

5. User-Submitted Content

When you submit content to MemVault (including images, videos, captions, and comments), you:

• Represent and warrant that you own the content, have obtained all necessary rights and licences to share it, and that sharing it does not infringe any third-party intellectual property, privacy, or other rights
• Grant MemVault a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, display, distribute, and adapt your content solely for the purposes of operating and promoting the Service
• Remain solely responsible for the content you post and any consequences arising from it
• Acknowledge that we do not pre-screen submitted content but reserve the right to remove any content at any time for any reason

We do not claim ownership of your content. You may request removal of your submissions at any time by contacting us at pratyushdave80@gmail.com.

6. Prohibited Content and Conduct

You must not post, upload, or transmit content that:

• Is illegal under applicable local, national, or international law
• Depicts, promotes, or glorifies violence, self-harm, or the sexual exploitation of minors (CSAM) — such content will be reported to relevant authorities
• Constitutes hate speech targeting individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics
• Infringes third-party copyright, trademark, trade secret, or other intellectual property rights
• Contains spam, malware, phishing material, or any deceptive or harmful code
• Violates another person's privacy, including non-consensual intimate imagery ("revenge porn")
• Impersonates any person or entity or misrepresents your affiliation with any person or entity
• Facilitates or encourages any of the above

You must not use the Service to scrape, crawl, or systematically collect data, to reverse-engineer any part of the Service, or to interfere with or disrupt the Service's infrastructure.

We reserve the right to remove any content that violates these rules without notice and to report illegal content to law enforcement.

7. Copyright and Intellectual Property

The MemVault name, logo, and original site design are the intellectual property of the operator. All rights not expressly granted are reserved.

Much of the meme content displayed on the platform is third-party material submitted by users. MemVault does not claim ownership of such content and does not assert that its display constitutes a fair-use determination. Copyright owners retain all rights in their works. If you believe your copyrighted work has been posted without authorisation, please submit a DMCA takedown notice as described in Section 8.

8. Copyright Infringement — DMCA Notice and Takedown

MemVault respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you are a copyright owner or authorised agent and believe that content on the Service infringes your copyright, please send a written notice to our Designated Agent containing all of the following:

• A physical or electronic signature of the person authorised to act on behalf of the copyright owner
• Identification of the copyrighted work claimed to have been infringed (or a representative list if multiple works are at issue)
• The exact URL(s) of the infringing content on our Service
• Your name, mailing address, telephone number, and email address
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorised to act on behalf of the copyright owner

We will respond to valid DMCA notices expeditiously by removing or disabling access to the allegedly infringing content. Repeat infringers will have their accounts terminated.

Counter-notice: If you believe content was removed as a result of mistake or misidentification, you may submit a written counter-notice to the same address, including the information required under 17 U.S.C. § 512(g)(3).

9. Third-Party Services

The Service uses the following third-party services, each governed by their own terms and privacy policies:

• Cloudflare Pages & Workers — hosting and edge compute
• Cloudflare D1 — user account database
• ImgBB — image hosting for submitted memes
• Google Analytics (GA4) — anonymised usage statistics (only activated with your consent)

We are not responsible for the content, privacy practices, or availability of any third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Meme content is user-submitted or internet-sourced; we make no representations about its accuracy, appropriateness, or fitness for any purpose.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMVAULT AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed INR 500 (Indian Rupees five hundred).

12. Indemnification

You agree to defend, indemnify, and hold harmless MemVault, its operator, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any copyright, trademark, privacy, or other intellectual property right; or (d) any content you submit to the Service.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

14. Termination

We may terminate or suspend your access to the Service at any time, with or without cause and with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at pratyushdave80@gmail.com for at least 30 days.

16. Changes to These Terms

We may revise these Terms at any time. We will indicate the date of the most recent revision at the top of this page. For material changes, we will make reasonable efforts to notify registered users (e.g. via email or an in-app notification). Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MemVault regarding the Service and supersede all prior agreements.
